Agreement to Terms
By engaging Harmony AI Consulting LLC ("Company," "we," "us") for services, submitting an inquiry, or making a payment, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, do not engage our services.
These terms govern all consulting, automation, and AI implementation services provided by Harmony AI Consulting LLC to clients in the Grand Strand region and beyond.
Services
Harmony AI Consulting provides AI automation strategy, implementation, and ongoing management services, including but not limited to:
- Lead capture and CRM automation workflows.
- AI-powered communication systems (voice, SMS, email).
- Custom AI agent development and integration.
- Revenue operations and reporting infrastructure.
- Ongoing monitoring, optimization, and support.
The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or service agreement provided to the Client prior to project commencement.
Payment Terms
All fees are as agreed upon in the applicable service tier or SOW:
- Setup fees are due in full before project work begins.
- Monthly retainer fees are billed in advance on a recurring basis via Stripe or invoice.
- Invoiced work (Growth OS and above) is due within 14 days of invoice date unless otherwise agreed in writing.
- Overdue accounts may be subject to a 1.5% monthly late fee on outstanding balances.
- Failure to pay may result in suspension of services until payment is received.
All prices are in USD. We reserve the right to adjust pricing with 30 days written notice for ongoing engagements.
Cancellation Policy
Either party may terminate an ongoing engagement with 30 days written notice delivered via email to the other party's primary contact on record.
- During the notice period, all scheduled work and billing continues as normal.
- Upon termination, we will provide reasonable transition assistance to ensure continuity of your automations and data access.
- Minimum engagement terms (if applicable) are specified in your SOW and take precedence over this general cancellation policy.
Important: Cancellation does not entitle the Client to a refund of any setup fees or monthly fees already paid. See the Refund Policy section below.
Refund Policy
Setup fees are non-refundable. Setup fees cover the significant upfront time and resources invested in scoping, designing, and building your AI automation infrastructure.
Monthly retainer fees are not refunded for partial months of service. If you cancel, service continues through the end of the current billing period.
In the event of a material failure by Harmony AI Consulting to deliver agreed-upon services (as defined in the SOW), we will work in good faith to remedy the situation, which may include service credits at our discretion.
Client Data Ownership
You own your data. All business data, customer records, leads, and content you provide to us or that is generated through your automations remains your property.
- We will not sell, share, or use your business data for any purpose other than delivering your contracted services.
- Upon termination of engagement, we will provide a data export in a standard format within 14 business days of request.
- We retain the right to keep anonymized, aggregated performance data for internal benchmarking purposes.
Case Study & Portfolio Rights
Unless you explicitly opt out in writing, you grant Harmony AI Consulting the right to:
- Reference your business name and industry as a client in our marketing materials.
- Publish anonymized or approved case studies describing the results achieved during our engagement.
- Use outcome metrics (e.g., "50% reduction in lead response time") in promotional content.
We will always seek approval before publishing any case study that includes your business name or identifying details. You may opt out at any time by notifying us in writing.
Intellectual Property
Custom automation workflows, AI agents, and systems built specifically for your engagement are delivered to you upon full payment and are yours to use.
Underlying tools, frameworks, templates, and proprietary methodologies developed by Harmony AI Consulting remain our intellectual property. We grant you a non-exclusive license to use these as part of your delivered solution.
Limitation of Liability
To the maximum extent permitted by law, Harmony AI Consulting's total liability for any claim arising from or related to our services is limited to the total fees paid by the Client in the three months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
We do not guarantee specific revenue outcomes, lead volumes, or business results. Results vary based on your industry, market conditions, offer quality, and other factors outside our control.
Governing Law
These Terms of Service are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions.
Any disputes arising from or relating to these terms or our services shall be resolved first through good-faith negotiation, then through binding arbitration in Horry County, South Carolina, unless both parties agree otherwise in writing.
Changes to These Terms
We may update these Terms of Service from time to time. We will notify active clients of material changes via email with at least 14 days notice before the new terms take effect. Continued engagement after the effective date constitutes acceptance of the updated terms.
